1. Technology and lead marketplace

TowPlatform provides software that allows customers to publish transportation opportunities and independent carriers to discover, unlock, message about, and submit their own offers for those opportunities. TowPlatform is not the motor carrier performing transportation, does not set a carrier's transportation rate, does not select a carrier for a customer, and does not collect or distribute the carrier's transportation charge. The customer independently decides whether to select a carrier.

2. Customer responsibilities

Customers must provide accurate information about the item, pickup and delivery locations, condition, dimensions, timing, access requirements, and other facts that may affect transportation. Customers are responsible for evaluating carrier offers and credentials and for deciding which carrier, if any, to hire.

3. Carrier responsibilities

Carriers are independent businesses responsible for their own rates, transportation agreements, invoicing, payment collection, cancellation/refund terms, claims handling, equipment, insurance, licensing, registration, operating authority, taxes, and compliance with laws applicable to transportation they perform. TowPlatform credential checks are marketplace trust features and do not replace a carrier's legal obligations.

4. Memberships and Lead Credits

Carrier marketplace access may require a paid monthly or annual membership. Each membership includes a stated Lead Credit allowance for its current billing period. Unused included credits expire when that billing period renews and are replaced by the next plan allowance. Separately purchased top-up credits remain available across membership renewals until used, unless otherwise required by law or disclosed at purchase.

Lead Credits purchase access to an opportunity, not a guaranteed job. Unlocking a lead may reveal additional request details and permit the carrier to message the customer or submit an offer. Multiple carriers may unlock the same opportunity. Credits are generally consumed when a lead is unlocked whether or not the customer selects that carrier. TowPlatform may restore credits for duplicate, fraudulent, invalid, already-completed, policy-removed, or other qualifying bad leads under its published credit-refund rules.

5. Carrier offers and customer selection

Each carrier independently determines the amount and terms of its offer. Marketplace estimates or recent-market ranges are informational planning signals only and are not TowPlatform transportation quotes. The customer may accept, decline, or discuss carrier offers and independently selects the carrier. A customer's selection records that marketplace choice; it does not make TowPlatform a party to the transportation service.

6. Direct customer-carrier agreement and payment

Transportation services are contracted directly between the customer and selected carrier. The carrier's transportation terms, payment instructions, cancellation policy, refund terms, bill of lading, claims process, and other transportation documents govern that relationship as applicable. TowPlatform does not collect the carrier's transportation charge or release transportation payouts. Stripe or another processor may be used by TowPlatform for carrier membership and Lead Credit purchases only.

7. Reviews, messaging, and conduct

Reviews must relate to a genuine marketplace selection and completed transport and may not contain unlawful, fraudulent, harassing, or knowingly false material. Users may not use the platform for fraud, unlawful goods, credential misrepresentation, abusive conduct, spam, or attempts to compromise platform security. TowPlatform may moderate content, refund or revoke lead access, suspend accounts, or restrict marketplace access to protect users and platform integrity.

8. Availability and limitations

The marketplace and matching tools are provided on an as-available basis. Matching scores, estimated ranges, route calculations, carrier verification indicators, and other software-generated information are decision-support tools and may not reflect every factor relevant to a transport. To the extent permitted by law, TowPlatform is not responsible for the acts, omissions, losses, damage, delays, payment disputes, claims, or transportation performance of independent customers or carriers.

9. Changes and legal review

We may update these terms as the service changes. Continued use after an effective update constitutes acceptance where permitted by law. These terms are a product template and should be reviewed by qualified counsel for TowPlatform's actual operations, jurisdictions, regulatory posture, subscription practices, and risk allocation before public launch.
